No, you can run them side-by-side, and in fact some people have three CS versions installed.

And yes, generally CS5 does what CS4 does and much more.

  It doesn’t automatically delete it (oddly enough). You can uninstall it yourself after wards. And of course, CS5 has everything that CS4 has, and more
